Acceptable Use Policy

This Acceptable Use Policy ("AUP") applies to all users of the MulchManagers Platform. It is incorporated into the Customer Terms of Service and Vendor Participation Agreement.

1. Purpose

MulchManagers is a professional B2B platform for commercial landscaping procurement and project coordination, operated by StruxOS, a technology company that provides software, verification infrastructure, and procurement intelligence and does not act as a broker, contractor, or labor provider. This AUP defines acceptable and prohibited conduct so StruxOS can protect Customers, Vendors, Properties, audit trails, and the integrity of the credentialed network.

2. Acceptable Use

You may use the Platform only for legitimate business purposes connected to the Platform's intended functions, including:

  • Creating, reviewing, approving, and managing legitimate Quote Requests, CSOWs, Bids, Projects, and related records
  • Uploading and maintaining legitimate business documents, credentials, and project documentation
  • Communicating in good faith about Platform-facilitated Projects and operational questions
  • Managing Organization, Property, and User information within your authorized scope
  • Using Platform tools to document status, approvals, deficiencies, invoices, and project completion

You must use the Platform in a lawful, accurate, professional, and commercially reasonable manner.

3. Prohibited Conduct

You must not, and must not attempt to, do any of the following:

3.1 Fraud and misrepresentation

  • Submit false, misleading, fabricated, or bad-faith Quote Requests, Bids, invoices, completion records, or other project records
  • Submit expired, altered, falsified, or fraudulent insurance certificates, licenses, W-9s, or other credentials
  • Impersonate another person, company, role, or authorization level
  • Misrepresent the authority you have to bind an Organization, approve a CSOW, award a Project, or perform work

3.2 Data integrity violations

  • Manipulate, falsify, backdate, or otherwise tamper with audit trails, timestamps, acceptance records, project records, or documentation
  • Submit multiple Bids from the same Vendor under different identities to distort a procurement process
  • Use the Platform in a way designed to distort pricing comparisons, benchmarks, or StruxIQ outputs

3.3 Unauthorized access and security violations

  • Access or attempt to access data, accounts, projects, bids, administrative tools, or functions outside your authorized scope
  • Probe, scan, test, or exploit vulnerabilities in the Platform without written authorization from StruxOS
  • Share credentials, defeat access controls, bypass security features, or help others do so
  • Introduce malware, ransomware, spyware, or other harmful code into the Platform or its integrations

3.4 Data extraction and competitive misuse

  • Scrape, crawl, harvest, mirror, or systematically extract Platform data without written authorization
  • Use Platform data to build or train a competing product or dataset using identifiable Customer or Vendor information without explicit consent
  • Attempt to obtain competing Vendors' identities, pricing, or bid details through circumvention or off-platform conduct

3.5 Platform circumvention

  • During an active Platform-sourced engagement, use off-platform arrangements to avoid the Platform's required documentation, audit trail, or project record obligations
  • Use the Platform primarily to identify counterparties and then shift the documented transaction off-platform in a way that defeats the system of record

3.6 Harassment and abuse

  • Harass, threaten, intimidate, discriminate against, or abuse another user
  • Post or send defamatory, obscene, unlawful, or otherwise inappropriate content through the Platform
  • Use the Platform to stalk, dox, or expose another person's personal information without authorization

3.7 System interference

  • Interfere with, overload, disrupt, or impair the Platform or its infrastructure
  • Use automated means in a manner that places unreasonable load on the Platform
  • Reverse engineer, decompile, or disassemble the Platform except to the limited extent applicable law cannot prohibit it

3.8 Intellectual property and legal violations

  • Upload, submit, or use content that infringes another party's intellectual property, privacy, publicity, or other legal rights
  • Use the Platform in violation of applicable law, regulation, court order, or contractual obligation

4. Enforcement

4.1 Investigation and corrective action

StruxOS may investigate suspected violations of this AUP and may request information, documentation, or corrective action from the relevant user or Organization.

4.2 Available enforcement actions

If we believe a violation occurred, we may take one or more of the following actions, with or without prior notice depending on the circumstances:

  • Issue a warning
  • Require corrective action or updated documentation
  • Suspend or limit access to specific features, Projects, or accounts
  • Remove content or records that violate this AUP
  • Terminate Platform access or Network participation
  • Report suspected fraud, credential falsification, or unlawful conduct to affected parties or relevant authorities where appropriate

4.3 Documentation of enforcement

StruxOS may document enforcement decisions and supporting facts in its internal audit trail and compliance records.

5. Reporting Violations

If you become aware of conduct that may violate this AUP, please report it to support@mulchmanagers.com or through the support tools we make available in the Platform. Reports should include enough detail for us to investigate. We may not be able to share the outcome of every investigation.

6. Modifications

StruxOS may update this document from time to time. If we make a material change, we will provide at least 30 days' notice by email to registered users, by notice on the Platform or Site, or both, unless a shorter period is required for legal, security, or operational reasons. The version number and effective date will be updated when a change is published. Continued use of the Platform after the effective date of an updated document constitutes acceptance of the updated document. For some material changes, we may require renewed clickwrap acceptance before continued use. Capabilities described in this document as future or upon-activation (such as integrated payments and mobile applications) take effect only when activated, and the provisions describing them apply from activation.
